Terms & Conditions

The agreement that governs your use of Axen.

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern access to and use of Axen, a retail automation platform operated by Qubit Labs Pty Ltd ("we", "us", or "our"). By accessing or using Axen, creating an account, or purchasing a membership, you agree to be bound by these Terms. If you do not agree, do not use the service.

2. Description of Service

Axen provides Australian retail automation software and related membership benefits, which may include browser-based automation tools, residential proxies for use with the platform, hosted server infrastructure, related API usage required by the platform, automatic updates, support, and ongoing retailer module maintenance.

Membership is a subscription for software and operations. It is not an investment product, and it is not a guarantee of successful checkouts, resale outcomes, or profit.

3. What Membership Does and Does Not Promise

We endeavour to provide reliable infrastructure, continuous maintenance, timely updates when modules break, and honest communication about platform status.

We do not guarantee retailer behaviour, anti-bot outcomes, unlimited successful checkouts, resale market prices, or any level of member profit. Retailers may change systems at any time, and those changes are outside our control.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorised use.

Unless we expressly agree otherwise in writing, each membership is for a single user. Sharing credentials, selling seats, or otherwise redistributing access is prohibited.

5. Acceptable Use

You agree not to misuse the service, including by: reverse-engineering, decompiling, or attempting to extract source materials; reselling or sublicensing access without authorisation; using the service for any unlawful purpose; attacking, disrupting, or overloading systems beyond ordinary use of the platform; or developing a competing product using our software or confidential materials.

You are solely responsible for complying with applicable laws and the terms of any third-party retailer or service you interact with.

6. Payment and Billing

Access may be offered through a waitlist. When you join the waitlist you may be asked to provide payment details. You are only charged when your membership is accepted and activated.

Memberships are billed in advance on a recurring monthly basis through Whop or another payment processor we designate, plus any one-time setup fee published on our website. Current pricing is published on our website. We may change prices with reasonable prior notice.

By joining the waitlist or activating membership, you authorise charges to your selected payment method when acceptance occurs, and recurring charges thereafter until you cancel.

7. Third-Party Retailers and Dependencies

Axen interacts with third-party retailer websites and systems that we do not control. Those parties may change, restrict, or block automation at any time. Temporary module downtime or reduced performance may occur while we investigate and ship fixes.

Proxies, challenge-solving APIs, and other infrastructure partners may also experience outages or policy changes that affect the service.

8. Intellectual Property

All software, designs, branding, documentation, and related materials provided through Axen remain the intellectual property of Qubit Labs Pty Ltd or its licensors. You receive only a limited licence to use the service as described in the EULA and these Terms.

9. Limitation of Liability

To the maximum extent permitted by law, Axen and related services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

To the maximum extent permitted by law, Qubit Labs Pty Ltd is not liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, including damages arising from failed checkouts, retailer anti-bot changes, resale market movements, or inability to use the service.

Nothing in these Terms excludes or limits any consumer guarantee, right, or remedy that cannot be excluded or limited under the Australian Consumer Law or other applicable law.

10. Suspension and Termination

We may suspend or terminate your access if you violate these Terms, abuse the service, share accounts, engage in unlawful activity, or create risk to the platform or other members. Upon termination, your right to use the service ceases immediately.

You may cancel your subscription at any time through your Whop billing settings (or the payment processor then in use). Cancellation stops future renewals; access generally continues until the end of the paid period unless we terminate earlier for breach.

11. Changes to Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised date. Continued use of the service after changes become effective constitutes acceptance of the revised Terms.

12. Governing Law and Contact

These Terms are governed by the laws of Australia. Courts in Australia will have non-exclusive jurisdiction, subject to any non-excludable consumer protections that apply to you.
